1. Definitions

In these Terms, the following words carry the meanings set out below:

TERM MEANING
"Firm" / "We" Keadilan Firm, a civil and commercial legal practice with offices at 6 Jalan Wong Ah Fook, 80000 Johor Bahru, Johor, Malaysia.
"User" / "You" Any individual or entity accessing this website or engaging the Firm for legal services.
"Services" Legal document preparation, commercial lease negotiation, company secretarial and governance services, and any related advisory work provided by the Firm.
"Site" The website located at keadilan-firm.pro and all associated pages.
"Agreement" These Terms and Conditions, together with our Privacy Policy and any engagement letter or fee agreement executed between the parties.

2. Acceptance of Terms

By accessing this Site or engaging the Firm's Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you should not use this Site or engage our Services.

You must be at least 18 years of age and legally capable of entering into binding agreements under Malaysian law. By proceeding, you represent that these conditions are satisfied.

3. Services

The Firm offers legal services in Malaysia, practising civil and commercial law. Services are provided subject to the terms of an engagement letter or fee agreement issued on commencement of each matter.

The Site provides general information about the Firm and its services. Nothing on this Site constitutes legal advice, nor does viewing or using this Site create a solicitor-client relationship. A solicitor-client relationship arises only upon execution of a formal engagement letter.

Service availability is subject to the Firm's capacity and the specific requirements of each matter. The Firm reserves the right to decline any engagement at its discretion.

4. User Responsibilities

When using this Site or engaging our Services, you agree to:

  • Provide accurate, complete, and current information when submitting enquiries or engaging our Services.
  • Not use this Site for any unlawful purpose or in a manner that could harm the Firm or any third party.
  • Not attempt to gain unauthorised access to any part of this Site or its underlying systems.
  • Not transmit any content that is false, misleading, defamatory, or in violation of applicable Malaysian law.
  • Cooperate with the Firm by providing timely instructions, relevant documents, and any information necessary for the proper conduct of your matter.

5. Intellectual Property

All content on this Site — including text, design elements, structure, and branding — is owned by or licensed to Keadilan Firm and is protected by Malaysian copyright law. You may not reproduce, distribute, or adapt any content from this Site without prior written consent.

Documents prepared by the Firm on your behalf, once delivered and paid for, are provided for your use in connection with the matter for which they were prepared. They may not be repurposed or distributed without the Firm's written agreement.

6. Payment Terms

  • All fees are quoted in Malaysian Ringgit (MYR) and are exclusive of applicable taxes and out-of-pocket disbursements unless stated otherwise in the engagement letter.
  • Payment is due in accordance with the terms set out in the relevant invoice or engagement letter. Where a deposit is required, work commences upon receipt of that deposit.
  • Disbursements — including stamp duty, government filing fees, court fees, and courier charges — are billed at cost and are not included in quoted service fees.
  • The Firm may decline to deliver completed work or continue a matter where payment is overdue.

Refund requests are assessed on the circumstances of each matter. Where work has not yet commenced, a full refund of any deposit may be considered. Where work is underway, the Firm will issue an invoice for work completed to date.

7. Service-Specific Terms

Legal Document Preparation

The standard fee covers preparation of one document and one round of revisions. Additional revisions, additional documents, or documents requiring notarisation or commissioning may attract additional fees. The turnaround of three to five business days applies to straightforward matters; complex instructions may require additional time, which will be communicated in advance.

Commercial Lease Negotiation

The Firm acts on your behalf in negotiating with the other party or their representatives. Outcomes are not guaranteed as they depend on the other party's willingness to amend terms. The Firm will advise on the commercial and legal implications of proposed terms and will act on your instructions. The engagement concludes upon preparation of the final executed agreement.

Company Secretarial & Governance

The annual retainer covers standard statutory compliance work as described in the service specification. Complex corporate transactions — such as restructurings, capital reductions, or regulatory applications — fall outside standard retainer scope and will be quoted separately. The retainer renews annually unless either party provides 30 days' written notice before the renewal date.

8. Disclaimers

No advice on this Site. Content on this Site is provided for informational purposes only. It does not constitute legal advice and should not be relied upon as such. Legal situations vary; consult a qualified lawyer for advice specific to your circumstances.

This Site is provided on an "as available" basis. The Firm does not represent that the Site will be free from errors, uninterrupted, or that any defects will be corrected, though we make reasonable efforts to ensure its accuracy.

The Firm does not make any representation or commitment regarding the outcome of any legal matter. Engagement of the Firm does not constitute a representation that a particular result will be achieved.

9. Limitation of Liability

To the extent permitted by Malaysian law, the Firm's aggregate liability for any claim arising out of the use of this Site (excluding professional services engagements, which are governed by the applicable engagement letter) shall not exceed MYR 500.

The Firm shall not be liable for any indirect, incidental, or consequential losses arising from use of this Site or any inability to use it, including loss of data, loss of business opportunity, or economic losses.

10. Termination

You may terminate your use of this Site at any time by discontinuing access. Termination of a services engagement is governed by the relevant engagement letter.

The Firm may suspend or terminate access to this Site at any time without notice. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, and liability limitations — will continue to apply.

11. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Both parties agree to submit to the exclusive jurisdiction of the courts of Malaysia in relation to any dispute arising from these Terms or the use of this Site.

12. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any engagement letter, constitute the entire agreement between you and the Firm relating to use of this Site.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver. Failure to exercise or delay in exercising any right under these Terms does not constitute a waiver of that right.
  • Changes. The Firm may update these Terms at any time by publishing a revised version on this page. Continued use of the Site after publication constitutes acceptance. Material changes will be noted at the top of this page.
